Art. 1° – The autonomous organization “GRUPPO DI VOLONTARIATO CIVILE – GVC – ONLUS” is hereby established in Bologna Via dell’ Osservanza 35/2.
Art. 2° – The purpose of “GRUPPO DI VOLONTARIATO CIVILE G.V.C. - ONLUS” is to train and send volunteers to developing countries, spreading information and awareness about international issues involving underdevelopment, and to co-operate with Agencies and Associations working in the above mentioned fields.
Art. 3° – Candidates may become Acting Members of the Association by submitting a written request and being accepted by the Board of Directors, as well as paying an annual membership subscription.
Every year, on a proposal by the Board of Directors, the Meeting decides the amount of the assets of the association, which each member must pay out.
Membership will be lost in case of:
- Resignation in writing
- Being in arrears.
Art. 4 – The Association has a Members’ Meeting and a Board of Directors.
Meetings may be ordinary and extraordinary:
Ordinary Meetings – these are summoned by the President, on appointment by the Board of Directors, once a year, with written notice sent at least 10 days before, with specific statement of the Agenda, and is valid in a single summons;
Extraordinary Meetings – these are summoned by the President, on appointment by the Board of Directors, or else on a written and motivated request by at least one third of the Members.
The Ordinary Meeting:
- Every year, elects the Board of Directors, with a vote limited to two thirds of those to be elected;
- Approves the financial report and the Budget, presented by the Treasurer.
- Each Member may have a proxy to represent no more than one other Member, in voluntary service abroad, during the Meeting.
Art. 5° – The Board of Directors consists of nine Members and implements the operations needed to carry out the purposes of the association.
During its first meeting, the Board of Directors elects from its membership the President, the Secretary and the Treasurer.
Art. 6° – Amendments to these articles of association can only be made by the Meeting deciding with a favourable vote of at least two thirds of those attending, as long as these represent at least half the Membership plus one.
Art. 7° – Should the Association be dissolved, the Meeting will decide, by plain majority, to transfer the extant activities to Associations or Agencies having similar purposes.
This article may be modified only with the consent of all the Members.
Art. 8° – Referring to the provisions of Law 460 art. 10 the Association:
a. is forbidden to carry out any activities other than those mentioned in Art. 2 of the Articles of Association;
b. is forbidden to distribute, even indirectly, any profits or any amounts left over from the budget, as well as any funds, reserve or capital during the lifetime of the organization, unless the destination or distribution are obligatory by law or are effected in the favour of other non profit social agencies (ONLUS) which by law, articles of association or regulation are part of the same single structure;
c. is obliged to use all the profits or amounts left over from the budget to carry out the official activities and activities directly connected to the same;
d. is obliged to use the term “ONLUS” in its name and in any identifying mark or notice addressed to the public.
